Terms of Service
Last updated: 22 September 2026
These Terms of Service ("Terms") govern access to and use of GetClass, including the website available at getclass.now, associated web applications, booking pages, software, services, features, and related functionality provided by GetClass ("GetClass," "we," "us," or "our").
Please read these Terms carefully.
By creating an account, subscribing to a paid plan, accepting these Terms electronically, booking through GetClass where acceptance is requested, or otherwise using the Service in a manner that creates a contractual relationship with GetClass, you agree to these Terms.
If you accept these Terms on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
If you use GetClass as a Client of a Studio, these Terms govern your use of the GetClass platform. Your purchase, booking, attendance, cancellation, and other arrangements relating to Studio Services are between you and the relevant Studio and may also be subject to that Studio's own terms and policies.
Nothing in these Terms excludes, restricts, or waives any right or remedy that cannot lawfully be excluded, restricted, or waived.
1. Definitions
For purposes of these Terms:
"Service" means the GetClass website, application, software, infrastructure, booking functionality, and related services provided by GetClass.
"Studio" or "Business Customer" means a business or professional that uses the Service to manage its business, classes, schedules, clients, memberships, packages, bookings, or related operations.
"Authorized User" means an individual authorized by a Business Customer to access or use its GetClass account.
"Client" or "End User" means an individual who accesses, registers with, or uses GetClass in connection with a Studio, including to view information or make or manage a booking.
"User" means a Business Customer, Authorized User, or End User, as applicable.
"Consumer" means a natural person acting primarily for purposes outside that person's trade, business, craft, or profession, to the extent applicable law treats that person as a consumer.
"User Content" means information, text, photographs, logos, files, schedules, descriptions, policies, client information, and other material submitted to, generated through, transmitted through, or stored using the Service by or on behalf of a User.
"Studio Services" means classes, instruction, memberships, packages, events, facilities, services, or other offerings provided by a Studio to its clients.
"Order" means a subscription order, checkout page, order form, or similar document specifying a GetClass plan or paid Service.
2. What GetClass Provides
GetClass provides software and technological infrastructure intended to assist businesses with activities such as studio administration, scheduling, client management, pricing plans, packages, bookings, and related operations.
GetClass may also provide public Studio pages or interfaces through which End Users can view Studio information or initiate or manage bookings.
Unless expressly stated otherwise at the relevant checkout or transaction:
- GetClass does not itself provide Studio Services;
- GetClass is not the instructor, trainer, fitness provider, healthcare provider, or operator of a Studio;
- the Studio, rather than GetClass, determines its classes, schedules, instructors, capacity, prices, eligibility requirements, cancellation policies, refunds, and other Studio-specific conditions;
- any contract for Studio Services is between the Studio and its Client; and
- GetClass does not guarantee that a Studio or Client will perform its obligations to the other.
GetClass is not a party to a Studio's terms, waivers, policies, or other contractual arrangements with its Clients merely because those arrangements are displayed, accepted, recorded, or technically processed through the Service.
Nothing in the Service constitutes medical, legal, tax, financial, employment, or other regulated professional advice.
3. No Guarantee of Results
GetClass provides tools intended to assist Users in operating and interacting with their businesses.
We do not guarantee any particular:
- revenue;
- client acquisition or retention;
- occupancy level;
- booking volume;
- profitability;
- business outcome;
- health or fitness result;
- regulatory result; or
- other commercial or personal result.
Users remain responsible for decisions and actions taken using or in reliance on the Service.
4. Eligibility
A person entering into a paid agreement with GetClass or creating a Business Customer account must be at least 18 years old and legally capable of entering into a binding contract.
If applicable law establishes a different age of majority, the applicable age of majority controls.
Where the Service permits minors to participate in Studio Services, the relevant Studio is responsible for obtaining any parental or guardian consent required by law and for determining whether its services are appropriate for the minor.
GetClass does not knowingly permit a minor to enter into a paid contract directly with GetClass where that minor lacks legal capacity to do so.
5. Accounts
You must provide accurate and reasonably complete information when creating and maintaining an account.
You must promptly update information that becomes materially inaccurate.
You are responsible for maintaining the confidentiality and security of your login credentials.
You must not:
- share individual login credentials with unauthorized persons;
- permit another person to impersonate you;
- disclose authentication tokens, API keys, or similar credentials except to authorized persons or systems;
- intentionally use credentials belonging to another person; or
- circumvent account or access restrictions.
Business Customers may authorize personnel to use the Service. The Business Customer is responsible for managing Authorized Users and their permissions and, to the extent permitted by law, for activity undertaken through accounts it authorizes or negligently fails to secure.
You must notify GetClass promptly at [email protected] if you reasonably suspect unauthorized access to your account.
6. User Systems and Security Responsibilities
Users are responsible for maintaining appropriate devices, software, internet connectivity, account security, and internal access controls necessary to use the Service.
Users are also responsible for maintaining independent copies of information where appropriate for their business or legal needs.
The fact that GetClass stores data does not make GetClass the User's sole archival, backup, or disaster-recovery system unless a separate written agreement expressly states otherwise.
7. Business Customer Responsibilities
Each Business Customer is solely responsible for the operation of its business and compliance with laws applicable to that business.
This includes responsibility, where applicable, for:
- Studio licenses and registrations;
- professional and instructor qualifications;
- premises and equipment;
- health and safety obligations;
- insurance;
- taxes;
- prices;
- consumer disclosures;
- Studio cancellation and refund policies;
- waivers and informed consents;
- advertising;
- accessibility obligations;
- employment matters;
- client communications; and
- legal authority to collect and process Client information.
The Business Customer is responsible for ensuring that information it publishes through GetClass is accurate, current, and lawful.
8. Studio Services, Bookings, and Physical Activities
Studio Services may involve physical activity and may carry inherent risks.
GetClass does not evaluate, supervise, endorse, or certify:
- Studio premises;
- instructors;
- qualifications;
- equipment;
- class suitability;
- safety practices;
- medical appropriateness; or
- health or safety representations made by a Studio.
Clients are responsible for determining, together with the Studio and appropriate professionals where necessary, whether participation in Studio Services is suitable for them.
Studios remain responsible for Studio Services and for responding appropriately to emergencies, injuries, and incidents occurring in connection with their services.
9. Studio Policies and Terms
A Studio may make its own terms, waivers, cancellation rules, payment policies, or other conditions available through GetClass.
Those terms and policies are established by the Studio.
The Studio is responsible for ensuring that its terms and policies are lawful, appropriately disclosed, accurate, and enforceable to the extent required by applicable law.
GetClass's technical display or recording of acceptance of Studio terms does not constitute legal advice or a guarantee that those terms are legally enforceable.
10. Acceptable Use
You must use the Service only in accordance with these Terms and applicable law.
You must not use or attempt to use the Service to:
- commit, facilitate, or promote illegal activity;
- engage in fraud or deceptive conduct;
- violate another person's intellectual-property, privacy, publicity, or other rights;
- harass, threaten, exploit, or abuse another person;
- upload or distribute malware, malicious code, or harmful files;
- gain unauthorized access to accounts, systems, data, or infrastructure;
- probe or test vulnerabilities without our written authorization;
- interfere with or disrupt the Service or infrastructure supporting it;
- conduct denial-of-service attacks;
- bypass rate limits, access controls, or security measures;
- impersonate another person or organization;
- submit materially false account or payment information;
- use stolen or unauthorized payment credentials;
- abuse refunds, promotional offers, or free trials;
- create accounts primarily to evade restrictions or previous suspensions;
- scrape, crawl, harvest, or extract data from the Service by automated means except as expressly authorized by GetClass or permitted by applicable law;
- use automated systems in a manner that imposes an unreasonable load on the Service;
- reverse engineer, decompile, or disassemble the Service except to the limited extent such restriction is prohibited by applicable law;
- attempt to discover source code, underlying algorithms, or non-public technical architecture except where applicable law expressly permits such activity;
- copy or replicate substantial portions of the Service for the purpose of creating a competing product;
- resell, sublicense, or commercially provide access to the Service except where expressly permitted;
- upload illegal, defamatory, infringing, abusive, or malicious content;
- process personal data through the Service without an appropriate legal basis or authority;
- use the Service for unlawful surveillance;
- misuse communications functionality to send spam or unlawful marketing communications;
- use the Service in violation of applicable sanctions, export-control, or trade laws; or
- assist another person in doing any of the above.
We may implement reasonable technical measures to enforce these restrictions.
11. Investigations and Enforcement
If we reasonably believe that use of the Service violates these Terms or applicable law, threatens the Service or another person, creates a material legal or security risk, or is connected with fraud or unauthorized access, we may investigate and take proportionate action.
Such action may include restricting functionality, requesting information, preserving relevant records, removing content, suspending access, or terminating an account.
Where reasonably practicable and legally appropriate, we will consider the seriousness of the issue and whether the User can cure it before permanent termination.
Advance notice is not required where it could compromise security, facilitate abuse, violate law, or expose another person to harm.
12. User Content
As between you and GetClass, you retain ownership of User Content that you own.
You grant GetClass a non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, transmit, display, technically modify, format, convert, back up, and otherwise use User Content solely as reasonably necessary to:
- provide and operate the Service;
- transmit information at your direction;
- maintain, secure, and troubleshoot the Service;
- prevent fraud or abuse;
- comply with law; and
- perform our obligations under these Terms.
This license does not transfer ownership of User Content to GetClass.
The license continues for as long as reasonably necessary to provide the Service and thereafter only to the limited extent necessary for lawful backups, legal compliance, dispute resolution, security, fraud prevention, and other legitimate purposes permitted by applicable law.
13. Responsibility for User Content
You represent and warrant, to the extent applicable to you, that:
- you have the rights, permissions, and lawful authority necessary to provide User Content to GetClass;
- GetClass's permitted processing of User Content will not unlawfully infringe third-party rights; and
- your submission and use of User Content complies with applicable law.
Business Customers are responsible for obtaining appropriate permissions from their personnel, instructors, Clients, and other persons where required.
14. Content Removal
We may remove, restrict, or disable access to User Content where we reasonably believe it violates these Terms or applicable law, infringes third-party rights, creates a security threat or material risk of harm, or must be restricted pursuant to a valid legal requirement.
Where applicable law requires notice, reasons, or appeal rights in connection with a content restriction, GetClass will provide them as required.
15. Reporting Unlawful or Infringing Content
Claims concerning allegedly unlawful or infringing content may be submitted to:
A notice should identify:
- the content concerned;
- its location within the Service;
- the legal right or rule allegedly violated;
- the basis of the complaint;
- the complainant's contact information; and
- any other information reasonably required to evaluate the complaint.
We may request additional information where reasonably necessary and may remove or restrict content when legally required or when we reasonably determine that it violates these Terms.
16. Third-Party Services
The Service may rely on or integrate with third-party products and infrastructure, including cloud-hosting providers, payment providers, authentication providers, email providers, analytics services, communications services, storage providers, APIs, app stores, and other external services.
Third-party services are outside GetClass's control and may be subject to their own terms and privacy policies.
To the maximum extent permitted by applicable law, GetClass is not responsible for failures, acts, or omissions of third-party providers that are outside GetClass's reasonable control.
We do not guarantee that a particular third-party integration, API, provider, or compatibility will remain available indefinitely.
17. Service Availability
GetClass does not promise 100% availability unless a separate written Service Level Agreement expressly states otherwise.
The Service may occasionally be unavailable because of maintenance, updates, bugs, infrastructure failures, third-party outages, internet or telecommunications failures, cyberattacks, emergency work, or circumstances outside our reasonable control.
We will use commercially reasonable efforts appropriate to the nature of the Service to operate and maintain it, but uninterrupted or error-free operation is not guaranteed.
18. Updates and Modifications to the Service
We may update, modify, replace, or discontinue features of the Service to improve functionality or security, fix defects, comply with law, respond to third-party changes, address abuse, or develop the Service.
Changes to paid Services remain subject to any rights or remedies required by applicable law or an applicable Order.
19. Beta and Experimental Features
Features identified as beta, preview, experimental, early access, or similar may be incomplete, contain defects, and be changed or discontinued.
Unless prohibited by law, such functionality is provided without commitments regarding continued availability or future inclusion in a paid plan.
Users should not rely on beta functionality for critical operations without appropriate contingency arrangements.
Business Customer Subscriptions and Payments
Sections 20 through 28 apply primarily to Business Customers purchasing paid GetClass plans, unless expressly stated otherwise.
20. GetClass Subscription Fees
Certain features of the Service require a paid subscription.
Before a subscription is purchased or changed, GetClass will disclose the applicable plan, price, currency, and billing interval.
Unless expressly stated otherwise, displayed prices exclude applicable taxes.
21. Recurring Subscriptions
If an Order states that a subscription automatically renews, it will renew for the disclosed renewal period unless cancelled before the applicable renewal point.
Before purchase, the checkout flow will disclose the material recurring-billing terms, including, as applicable:
- billing frequency;
- amount payable;
- when billing begins;
- material trial terms;
- how to cancel; and
- other information required by applicable law.
By affirmatively purchasing such a subscription, the Business Customer authorizes GetClass and/or its designated payment provider or merchant of record to collect the disclosed recurring charges until the subscription is cancelled or otherwise ends.
22. Payment Providers and Merchants of Record
Payments may be processed by an independent payment processor or merchant of record.
Where a merchant of record is identified as the seller for a transaction, that provider's applicable payment, tax, billing, and refund terms may also apply.
GetClass may not directly receive or store full payment-card credentials.
GetClass is not responsible for payment-provider outages or payment-method refusals outside its reasonable control, subject to applicable law.
23. Failed Payments and Payment Disputes
If a payment fails, we or our payment provider may make reasonable further attempts to process it where permitted by law and applicable payment terms.
We may request an updated payment method and may suspend paid functionality if payment remains overdue.
Outstanding amounts lawfully due remain payable after suspension or cancellation.
Users must not knowingly initiate fraudulent or abusive payment disputes or chargebacks.
Nothing in these Terms limits any lawful right to dispute an unauthorized or incorrect charge.
24. Plan Upgrades and Downgrades
A Business Customer may change its GetClass subscription plan through the billing interface.
A downgrade does not entitle the Business Customer to a refund or credit for the current billing period.
25. Price Changes
We may change subscription prices prospectively.
For an existing automatically renewing paid subscription, a material price increase will normally take effect no earlier than a future renewal after any notice required by applicable law.
We will not retroactively increase the price for a period already paid.
26. Cancellation of GetClass Subscriptions
A Business Customer may cancel an automatically renewing GetClass subscription through the account interface or another reasonably accessible method provided by GetClass.
Cancellation ordinarily stops future renewal charges and becomes effective at the end of the current paid billing period.
27. Free Trials and Promotional Periods
Unless otherwise stated during signup, each eligible newly created Studio receives a fourteen-day free trial.
No payment card is required to start the trial, and the trial does not automatically convert into a paid subscription.
If a paid plan is activated during the trial, billing begins as disclosed during checkout. Any unused trial period does not create a credit or extend the paid subscription unless expressly stated otherwise.
If the trial ends without an active paid subscription, access to Studio management and booking functionality may be restricted. Trial expiration does not by itself immediately delete the Studio account or User Content.
Trials are limited to one per eligible Studio unless GetClass permits otherwise. GetClass may refuse or terminate trials used to obtain repeated trials, evade restrictions, or otherwise abuse a promotion.
Promotional offers may be subject to additional terms disclosed when the offer is made.
28. Refunds and Mandatory Rights
Except as required by applicable law, an applicable Order, or an expressly stated GetClass refund policy, subscription payments are not refundable merely because a Business Customer stops using the Service before the end of the paid period.
Nothing in this Section limits any refund, withdrawal, conformity, or other mandatory right or remedy under applicable law.
29. Studio Transactions
A payment, membership, package, class, or other commercial arrangement offered by a Studio to its Client is a "Studio Transaction."
Unless a checkout expressly identifies GetClass or an affiliate as the seller of that Studio Transaction, the Studio, not GetClass, is the seller or service provider.
The Studio is responsible for:
- its prices;
- taxes;
- payment terms;
- cancellation policy;
- refunds;
- Studio memberships;
- class packages;
- expiry terms;
- Studio credits;
- no-show rules; and
- performance of the purchased Studio Services.
A Studio's use of GetClass to record, display, facilitate, or administer a transaction does not by itself make GetClass a party to or responsible for that Studio Transaction.
Where GetClass provides payment infrastructure for Studio Transactions, applicable payment-provider terms may additionally apply.
30. GetClass Intellectual Property
Except for User Content and third-party materials, the Service and its proprietary components are owned by GetClass or its licensors and are protected by applicable intellectual-property laws.
This includes, as applicable, software, source code, object code, interfaces, workflows, designs, graphics, databases, documentation, branding, trademarks, logos, proprietary technology, architecture, and GetClass-created content.
Certain components or materials may be owned by third parties and used by GetClass under applicable licenses or other lawful rights.
All rights not expressly granted under these Terms are reserved.
31. Limited License
Subject to compliance with these Terms and payment of applicable fees where required, GetClass grants the User a limited, non-exclusive, non-transferable, and non-sublicensable right to access and use the Service for its intended purposes.
This license does not grant ownership in the Service or any GetClass intellectual property.
32. Feedback
If you voluntarily provide suggestions, ideas, or feedback about the Service, GetClass may use that feedback without restriction or payment, provided that this does not give GetClass ownership of unrelated User Content.
33. Privacy
Our processing of personal data is described in the GetClass Privacy Policy available at:
https://getclass.now/privacy-policy
These Terms and the Privacy Policy should be read together but serve different purposes.
Nothing in these Terms or the Privacy Policy limits rights granted by applicable data-protection law.
34. Business Customer Data and Data Processing Agreement
When a Business Customer determines the purposes and means for which Client Personal Data is processed and GetClass processes that data on the Business Customer's documented instructions, the Business Customer may act as controller and GetClass may act as processor for purposes of applicable data-protection law.
To the extent GetClass processes Personal Data on behalf of a Business Customer, the GetClass Data Processing Agreement ("DPA"), available at https://getclass.now/data-processing-agreement, is incorporated into and forms part of these Terms.
GetClass may act as an independent controller for certain Personal Data processed for its own purposes, such as account administration, security, fraud prevention, billing, Service communications, and legal compliance, as described in the Privacy Policy.
35. Sensitive Data
Users must not submit sensitive or specially protected Personal Data unless the functionality is designed for that purpose, the User has a valid legal basis and authority, and the Processing complies with applicable law and GetClass documentation.
Business Customers should not use ordinary notes or free-text fields to store unnecessary health information or other highly sensitive Personal Data.
36. Security
GetClass implements technical and organizational security measures that we consider reasonable and appropriate having regard to the nature of the Service and relevant risks.
No online system can be guaranteed completely secure.
Accordingly, we do not guarantee that the Service will be completely immune from unauthorized access, cyberattacks, malware, vulnerabilities, credential theft, or data loss.
Nothing in this Section reduces any security obligation imposed on GetClass by applicable law.
37. Data Retention After Termination
Unless an applicable Order, DPA, or mandatory law provides otherwise, GetClass is not required to maintain active access to User Content indefinitely after termination.
GetClass may delete or anonymize User Content following termination after 30 days, subject to legal retention requirements, backup cycles, security or fraud investigations, pending disputes, mandatory data rights, and applicable data-protection law.
Deletion from backups may occur through normal backup rotation rather than immediately.
38. Disclaimers
To the maximum extent permitted by applicable law, and subject to all non-waivable rights, the Service is provided on an "as available" basis.
GetClass does not warrant that:
- the Service will always be available;
- the Service will be uninterrupted or error-free;
- every defect will be corrected immediately;
- information supplied through the Service will always be complete or accurate;
- the Service will satisfy every User's requirements;
- the Service will remain compatible with every browser, device, operating system, integration, or third-party product;
- use of the Service will produce a particular business result; or
- third-party services will remain operational.
No disclaimer in these Terms excludes an express contractual commitment contained in an applicable Order or a mandatory warranty or remedy imposed by law.
39. Limitation of Liability
39.1 Non-Excludable Liability
Nothing in these Terms excludes or limits liability where exclusion or limitation is prohibited by applicable law.
In particular, nothing is intended to exclude or limit liability for fraud, fraudulent misrepresentation, intentional misconduct, or death or personal injury caused by negligence where applicable law prohibits such exclusion or limitation.
Nothing in these Terms limits mandatory Consumer rights or remedies.
39.2 Excluded Categories of Loss
For Users who are not Consumers, to the maximum extent permitted by applicable law, GetClass will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for loss of:
- profits;
- revenue;
- anticipated savings;
- business opportunities;
- goodwill;
- reputation; or
- business continuity,
arising out of or relating to these Terms or the Service, even if GetClass was informed that such loss was possible.
To the maximum extent permitted by applicable law, GetClass will not be liable to a non-Consumer User for loss of data to the extent that the loss could reasonably have been avoided through reasonable backup, access-control, or security measures available to the User.
39.3 Aggregate B2B Liability Cap
For Users who are not Consumers, except for liabilities that cannot lawfully be limited and subject to Section 39.4, GetClass's aggregate liability arising out of or relating to the Service or these Terms will not exceed the fees paid or payable by the applicable Business Customer for the six-month period immediately preceding the event giving rise to the claim.
If the Business Customer has used the paid Service for less than six months, the liability cap will be based on the fees paid or payable during that shorter period.
For subscriptions billed annually, fees will be allocated proportionally to the relevant six-month period solely for purposes of calculating the liability cap under this Section.
If a separate Order expressly specifies a different liability cap, the Order controls for that Business Customer.
39.4 Consumer Claims
For Consumers, exclusions and limitations in these Terms apply only to the extent they are lawful and enforceable under the law applicable to that Consumer.
Nothing in these Terms restricts rights or remedies that applicable law makes mandatory.
40. Business Customer Indemnification
This Section applies only to Business Customers.
To the maximum extent permitted by applicable law, the Business Customer will indemnify and hold harmless GetClass and its officers, directors, employees, and affiliates against third-party claims, damages, judgments, settlements, and reasonable external legal costs arising from:
- unlawful Studio Services;
- User Content supplied by or for the Business Customer;
- allegations that such User Content infringes third-party rights;
- the Business Customer's violation of applicable law;
- the Business Customer's material breach of these Terms;
- Studio terms, waivers, policies, or representations;
- injury or loss caused by Studio Services;
- misuse of the Service by the Business Customer or its Authorized Users; or
- unauthorized or unlawful Processing of Client information caused by the Business Customer.
The indemnification obligations in this Section do not apply to the extent that the relevant third-party claim results from GetClass's willful misconduct, gross negligence, or material violation of applicable law.
GetClass will provide reasonable notice of the claim and, at the Business Customer's expense, reasonable cooperation with the defense.
The Business Customer may control the defense using reasonably qualified counsel, but may not enter into a settlement that admits wrongdoing by GetClass, imposes non-monetary obligations on GetClass, or otherwise materially prejudices GetClass without GetClass's prior consent, not to be unreasonably withheld or delayed.
41. Suspension
We may suspend all or part of an account where reasonably necessary because of:
- material breach of these Terms;
- non-payment;
- suspected fraud;
- unauthorized access;
- security threats;
- unlawful activity;
- credible third-party rights complaints;
- risk to other Users or infrastructure;
- sanctions or legal-compliance requirements;
- a binding legal request; or
- another material legal or security risk.
Where appropriate, suspension may initially be limited to affected functionality.
Where circumstances reasonably permit, we may provide notice and an opportunity to cure.
Immediate action may be taken where notice would be inappropriate because of fraud, security risk, serious abuse, legal restrictions, or potential harm to another person.
42. Termination by the User
A User may stop using free functionality at any time.
Paid subscriptions may be cancelled in accordance with the applicable cancellation provisions and Order.
Account deletion and subscription cancellation may be separate actions and may have different consequences.
43. Termination by GetClass
GetClass may terminate an account or agreement:
- for material breach not cured within a reasonable period after notice, where cure is appropriate;
- for serious or repeated violations;
- for fraud or unlawful conduct;
- for non-payment;
- where continued provision presents a material security or legal risk;
- where required by law; or
- if GetClass permanently discontinues the applicable Service.
Immediate termination may occur where advance notice would be inappropriate because of fraud, security risk, serious abuse, or legal requirements.
If GetClass permanently discontinues a prepaid Service, any refund or other remedy will be provided as required by applicable law or the applicable Order.
44. Effect of Termination
Upon termination:
- the User's right to use the relevant Service ends;
- outstanding fees lawfully incurred remain payable;
- GetClass may restrict account access;
- User Content will be handled under the data-retention provisions; and
- provisions that by their nature should survive will survive.
Such surviving provisions include those concerning intellectual property, accrued payment obligations, disclaimers, liability limitations, indemnification, disputes, and interpretation.
45. Force Majeure
Neither party will be liable to the other for delay or failure to perform an obligation, other than payment obligations for amounts already due, to the extent caused by circumstances beyond that party's reasonable control.
Such circumstances may include natural disasters, war, terrorism, civil unrest, government actions, sanctions, epidemics or pandemics, widespread power or telecommunications failures, internet failures, material cloud-provider failures, cyberattacks that could not reasonably have been prevented, labor disputes, supply-chain disruptions, and failures of critical third-party infrastructure.
The affected party must use reasonable efforts to mitigate the effect of the event.
Mandatory rights remain unaffected.
46. Governing Law
These Terms are governed by the laws of the jurisdiction in which the GetClass contracting entity is established, subject to any mandatory protections applicable under applicable law.
For Consumers, this choice of law does not deprive them of any mandatory protections that apply regardless of the chosen law.
47. Courts and Disputes
Before commencing formal proceedings, the parties are encouraged to attempt in good faith to resolve the dispute by contacting:
For Business Customers, disputes arising out of or relating to these Terms or the Service will be subject to the competent courts where the GetClass contracting entity is established, unless applicable law requires otherwise.
For Consumers, this Section applies only to the extent permitted by applicable law and does not limit any mandatory rights regarding jurisdiction.
48. Changes to These Terms
We may update these Terms where reasonably necessary, including because of changes to the Service, law, regulatory requirements, security requirements, or our business practices.
49. Electronic Communications
You agree that contractual notices and other communications may be supplied electronically to the extent permitted by law.
Electronic communications may include emails, in-product notices, account notifications, and electronically available contractual documents.
Users are responsible for keeping their contact information reasonably current.
50. Assignment
A User may not assign its rights or obligations under these Terms without GetClass's prior written consent, except where permitted by applicable law in connection with a bona fide transfer of the relevant business.
GetClass may assign these Terms in connection with a merger, corporate reorganization, financing, acquisition, or sale of all or substantially all of the relevant business or assets.
Any assignment affecting Consumers remains subject to applicable law and may not reduce mandatory rights.
51. No Partnership or Agency
Except where expressly agreed in writing, these Terms do not create a partnership, joint venture, franchise, employment relationship, fiduciary relationship, or agency relationship between GetClass and a User.
A Studio has no authority to bind GetClass.
52. Sanctions and Export Compliance
Users must comply with applicable sanctions, export-control, and trade laws when using the Service.
GetClass may restrict, suspend, or terminate access where reasonably necessary to comply with such laws.
53. Entire Agreement
These Terms constitute the agreement between GetClass and the User regarding the Service and supersede prior agreements, understandings, or representations relating to the same subject matter. These Terms may be modified only as provided in these Terms.
54. Severability
If a provision of these Terms is held unlawful or unenforceable, it will be enforced to the maximum extent legally permissible or, where appropriate, severed.
The remainder of the Terms will continue in effect to the extent legally possible.
55. No Waiver
Failure to enforce a provision is not a waiver of that provision or any other right.
A waiver must be explicit and applies only to the circumstances for which it is given.
56. Interpretation
Headings are for convenience only.
"Including" means "including without limitation" unless the context requires otherwise.
Nothing in these Terms will be interpreted against a party solely because that party drafted the provision, except where applicable law requires otherwise.
57. Language
The authoritative version of these Terms is English, except where applicable law requires a local-language version to control or prohibits a contractual language-precedence rule.
Translations may be provided for convenience unless otherwise stated.
